Together, these are referred to as the “Sites.”

The Sites are operated for The Millworks Project by Whatcom Community Foundation (“WCF,” “we,” “us,” or “our”). By accessing or using the Sites, you agree to these Terms of Use. If you do not agree, please do not use the Sites.

Purpose of the Sites

The Sites provide general information about The Millworks Project, including its vision, development progress, partners, community benefits, opportunities to connect, and ways to support the project.

The Sites are intended for informational and community-engagement purposes only.

No Professional, Financial, Investment, Legal, or Tax Advice

Information on the Sites is provided for general informational purposes only. It is not legal, financial, tax, real estate, investment, construction, development, or professional advice.

Nothing on the Sites is an offer, solicitation, or recommendation to buy, sell, invest in, lease, finance, or otherwise participate in any investment, property, security, development opportunity, or financial arrangement.

Any donation, investment, leasing, partnership, or other formal opportunity related to The Millworks Project is subject to separate documents, agreements, disclosures, eligibility requirements, and applicable laws.

Project Information May Change

The Millworks Project is a long-term development project. Project plans, timelines, renderings, descriptions, partners, uses, amenities, pricing, funding sources, and other details may change at any time.

Images, illustrations, renderings, concepts, and plans on the Sites may be artistic representations or preliminary materials and are not guarantees, promises, or representations of final design, construction, timing, availability, or outcomes.

We make reasonable efforts to keep Site information current, but we do not guarantee that all information is complete, accurate, current, or error-free.

Permitted Use

You may use the Sites for lawful, personal, non-commercial purposes.

You agree not to:

  • Use the Sites in a way that violates any law or regulation
  • Interfere with the security, operation, or availability of the Sites
  • Attempt to gain unauthorized access to the Sites, servers, systems, or data
  • Use automated tools, scraping software, bots, or similar methods to collect Site content without written permission
  • Copy, reproduce, modify, distribute, publish, display, or commercially exploit Site content without authorization
  • Use the Sites to transmit harmful, misleading, threatening, defamatory, unlawful, or infringing content
  • Impersonate another person or organization
  • Misrepresent your affiliation with The Millworks Project, WCF, or any project partner

Intellectual Property

The Sites and their content, including text, photographs, illustrations, renderings, graphics, logos, videos, design elements, trademarks, and other materials, are owned by or licensed to WCF, The Millworks Project, or their respective owners and are protected by intellectual-property laws.

You may view and print Site content for personal, non-commercial use only. Any other use requires prior written permission from Whatcom Community Foundation or the applicable rights holder.

“The Millworks,” “Whatcom Community Foundation,” and related names, logos, and marks may not be used without prior written permission.

Third-Party Links and Services

The Sites may include links to third-party websites, social-media platforms, donation portals, partners, and service providers. These links are provided for convenience only.

We do not control, endorse, or assume responsibility for third-party content, policies, services, security, or availability. Your use of third-party websites is governed by their own terms and privacy policies.

Donations

Donations made through a link on the Sites are processed through a separate platform operated for or on behalf of Whatcom Community Foundation.

Donation processing, gift acceptance, tax acknowledgments, refunds, recurring gifts, and related matters may be governed by separate terms, policies, and disclosures. Please review the applicable donation platform information before making a gift.

Disclaimer of Warranties

The Sites are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, WCF disclaims all warranties, express or implied, including warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

We do not guarantee that the Sites will always be available, secure, error-free, or free of viruses or other harmful components.

Limitation of Liability

To the fullest extent permitted by law, Whatcom Community Foundation, The Millworks Project, The Millworks LLC, and their respective directors, officers, employees, contractors, partners, and agents will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to your use of, or inability to use, the Sites.

This includes damages related to lost data, lost profits, business interruption, reliance on Site information, or unauthorized access to or alteration of transmissions or data.

Indemnification

You agree to defend, indemnify, and hold harmless Whatcom Community Foundation, The Millworks Project, The Millworks LLC, and their respective directors, officers, employees, contractors, partners, and agents from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of the Sites or violation of these Terms of Use.

Accessibility

We are committed to making the Sites accessible and usable for as many people as possible. If you experience difficulty accessing any content or functionality, please contact Whatcom Community Foundation so we can provide assistance or consider improvements.

Changes to These Terms

We may revise these Terms of Use at any time. The updated version will be posted on this page with a revised “Last Updated” date. Your continued use of the Sites after updated Terms are posted means you accept the revised Terms.

Governing Law and Venue

These Terms of Use are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or the Sites will be brought exclusively in the state courts located in Whatcom County, Washington, or the federal courts for the Western District of Washington, as applicable.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
